Governance is the product.

A funder is not buying a market view. It is buying the discipline of the people who will hold the line when a cargo is late, a borrower is slow and the numbers move against the book.

02  /  Governance Framework

Separation of duties, in writing.

Origination cannot approve its own credit. Credit cannot release its own funds. Finance cannot audit its own controls.

01

Board

Sets risk appetite, approves exposure limits and receives portfolio reporting. Retains approval authority above defined facility thresholds.

02

Credit committee

Approves facilities within delegated limits, tests security packages and holds the right to decline independent of origination.

03

Risk and compliance

Owns counterparty screening, sanctions and anti money laundering controls, and the conditions precedent checklist. Reports to the board, not to origination.

04

Finance and operations

Controls disbursement, account operation, reconciliation and reporting to funding partners. Executes only against approved documentation.

Committee composition, delegated authority levels and reporting lines to be confirmed in the governance charter and shared under NDA.

03  /  Advisory Bench

Specialist counsel, retained rather than employed.

Commodity finance draws on expertise that no single institution should attempt to carry in house at every moment. The House retains specialist support across the disciplines where a wrong answer is expensive.

Legal and enforceability

Cross border trade documentation, security perfection and dispute forum selection. [Firm to be named].

Inspection and custody

Independent quantity and quality inspection, and custody of financed parcels and stored product. [Provider to be named].

Insurance and risk transfer

Marine, political risk and credit life placement. [Broker to be named].

Audit and assurance

Statutory audit and portfolio assurance reporting to funding partners. [Auditor to be named].
